CHOONOK COMPANY VetJarvis Model License Agreement 1.0 - NC Preamble Licensor provides this Model to the veterinary research and education community without any expectation of commercial compensation. The purpose of the restrictions in this Agreement is not to generate revenue, but to ensure the safe, appropriate, and responsible use of the Model. This Model is designed EXCLUSIVELY for veterinary research and educational purposes. THIS MODEL IS NOT A MEDICAL DEVICE. The Model MUST NOT be used in: - Actual clinical veterinary diagnosis, prescription, or treatment decisions - Direct medical advice services to animal guardians or the general public - Systems exposing outputs where such outputs may reasonably be interpreted as professional veterinary advice - Any use outside research and education without prior written safety-based approval from Licensor This License Agreement ("Agreement") is entered into between you ("Licensee") and CHOONOK COMPANY ("Licensor"), governing the use of the Choonok VetJarvis-4B-Instruct ("Model"). By downloading, installing, copying, or using the Model, you agree to comply with and be bound by the terms of this Agreement. 1. Definitions 1.1 Model The VetJarvis-4B-Instruct AI model provided by Licensor, including software, algorithms, machine learning models, model weights, and related components. The Model is a domain-specialized language model trained specifically for companion animal (canine and feline) veterinary knowledge. 1.2 Derivatives Any modifications, fine-tuned versions, or derivative works of the Model. Outputs are not considered Derivatives. 1.3 Output Any content generated by the Model or Derivatives in response to user input. 1.4 Permitted Use Use of the Model and Derivatives for academic research, scholarly publication, education, teaching, technical evaluation, and benchmarking purposes. 1.5 Clinical Use Any use of the Model or its Output directly used for clinical decision-making affecting an actual animal patient. 1.6 End-User Exposure Any use that exposes the Model's responses to non-veterinary-expert end users where such outputs may reasonably be interpreted as professional veterinary advice. 1.7 Licensor CHOONOK COMPANY, the owner and provider of the Model. 1.8 Licensee The individual or organization that downloads, installs, copies, or uses the Model under this Agreement. 2. License Grant 2.1 Grant of License Subject to the terms of this Agreement, Licensor grants Licensee a limited, non-exclusive, non-transferable, worldwide, royalty-free license to access, download, install, use, modify, create Derivatives of, and Distribute the Model solely for Permitted Use. This license is irrevocable, provided that Licensee strictly complies with all terms of this Agreement. Any breach will result in immediate termination of this license. 2.2 Scope of License The license granted herein does not authorize the Licensee to use the Model for any purpose not explicitly permitted under this Agreement. Any use beyond the scope of this license, including any clinical use, end-user exposure, or external distribution outside Permitted Use, is strictly prohibited unless explicitly agreed upon in writing by the Licensor based on a safety and appropriateness review. 2.3 Modification and Naming Licensee may modify the Model and create Derivatives within the scope of Permitted Use. Any modified Model or Derivative must include "Choonok-VetJarvis-" as a prefix in its name. Licensee must prominently state that the Derivative is a modified version and is not officially endorsed, verified, or supported by CHOONOK COMPANY. 3. Restrictions 3.1 Prohibition of Clinical Use (CRITICAL) The Licensee is strictly prohibited from using the Model, Derivatives, or Output for Clinical Use, including but not limited to real-time diagnostic assistance, automated prescription generation, treatment planning, or integration into clinical workflows of a veterinary practice. Violation of this Section 3.1 constitutes a material breach and is grounds for immediate termination. 3.2 Prohibition of End-User Exposure (CRITICAL) The Licensee is strictly prohibited from operating any system, service, or application that exposes the Model or its Output to non-veterinary-expert end users where such outputs may reasonably be interpreted as professional veterinary advice. 3.3 Use Beyond Permitted Scope Without prior written approval from the Licensor, the Licensee is prohibited from using the Model, Derivatives, or Output for any purpose beyond the Permitted Use defined in Section 1.4, including but not limited to: (a) Developing, deploying, or operating any product, service, or application that is primarily intended to generate revenue through the incorporation of the Model; (b) Providing the Model to third parties through any hosted or managed form as a paid offering; (c) Embedding the Model in any product or solution sold or licensed to third parties; (d) Using the Model, Derivatives, or Output to develop competing AI models. 4. Ownership and Responsibility 4.1 Intellectual Property All rights in the Model and associated trademarks (including but not limited to "CHOONOK", "VetJarvis", and "VetJarvis-4B-Instruct") remain exclusively with Licensor. 4.2 Output and Responsibility for Use Licensor claims no ownership rights in Output. Licensee is solely responsible for the use of Output and any decisions made based on it, to the extent permitted by applicable law. Licensor disclaims all responsibility and liability for Licensee's specific use of Output, subject to the limitations set forth in Section 6. 4.3 Attribution In any publication, presentation, or distribution, Licensee shall provide appropriate attribution to Licensor in substantially the following form: "VetJarvis-4B-Instruct AI Model (CHOONOK COMPANY, [year]). Licensed under the CHOONOK COMPANY VetJarvis Model License Agreement 1.0 - NC." 5. No Warranty 5.1 "As-Is" Basis The Model is provided on an "as-is" and "as-available" basis. To the extent permitted by applicable law, Licensor makes no representations or warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or arising from course of dealing or usage of trade. 5.2 Specific Disclaimer for Veterinary Information The Model is not a medical device and is not intended for clinical use, diagnosis, prescription, or treatment under any applicable law. Licensor disclaims any warranty that Output is accurate, reliable, or appropriate for veterinary clinical purposes. 5.3 Performance and Reliability To the extent permitted by applicable law, Licensor does not warrant uninterrupted or error-free operation of the Model, nor that any defects will be corrected. 5.4 No Endorsement Licensor does not endorse, verify, or validate any results, conclusions, or advice derived from the Model. 5.5 Training Data Licensor represents that it used commercially reasonable efforts to ensure training data was lawfully obtained. To the extent permitted by applicable law, Licensor makes no guarantee regarding third-party intellectual property, privacy, or other claims that may arise in connection with the training data. This Section does not limit Licensor's liability for gross negligence or willful misconduct. 6. Limitation of Liability 6.1 No Liability for Indirect Damages To the fullest extent permitted by applicable law, Licensor shall not be liable for any indirect, incidental, consequential, exemplary, or punitive damages. However, nothing in this Agreement excludes or limits Licensor's liability for gross negligence, willful misconduct, or any other liability that cannot be excluded or limited under applicable law. 6.2 Indemnification Licensee agrees to indemnify, defend, and hold harmless Licensor from and against any claims, damages, or liabilities to the extent caused by or arising from: (a) Licensee's breach of this Agreement (particularly Sections 3.1, 3.2, and 3.3); (b) Licensee's wrongful or negligent use of the Model, Derivatives, or Output; or (c) third-party claims arising from Licensee's breach. This obligation does not extend to claims explicitly caused by Licensor's own gross negligence or willful misconduct. 6.3 Good Faith Safe Harbor If Licensee has acted in good faith and in substantial compliance with this Agreement, Licensor will consider appropriate mitigation of remedies under Section 6.2, subject to Licensee's prompt notification, cooperation, and mitigation efforts. Provided, however, that this Section 6.3 shall under no circumstances apply to any breach of Section 3 (Restrictions), including but not limited to any Clinical Use or End-User Exposure. 7. Termination 7.1 Termination for Breach For non-material breaches, Licensor provides written notice with a thirty (30) day period to cure. For material breaches (including, but not limited to, any violation of Sections 3.1, 3.2, or 3.3), Licensor may terminate this Agreement immediately upon notice. 7.2 Effect of Termination Upon termination of this Agreement, Licensee must immediately cease all use of the Model, Derivatives, and Output. Licensee shall delete and destroy all copies of the Model and Derivatives within thirty (30) days of termination and, upon Licensor's request, provide written confirmation of such destruction. 7.3 Survival Sections 3 (Restrictions), 4 (Ownership and Responsibility), 5 (No Warranty), 6 (Limitation of Liability), 7 (Termination), 8 (Governing Law), and 9 (Miscellaneous) shall survive any termination of this Agreement. 8. Governing Law 8.1 Governing Law This Agreement is governed by and construed in accordance with the laws of the Republic of Korea. 8.2 Arbitration Any dispute arising out of or in connection with this Agreement shall be finally resolved by arbitration administered by the Korean Commercial Arbitration Board (KCAB) in accordance with its rules. The seat of arbitration shall be Seoul, Republic of Korea. The arbitral tribunal shall consist of one (1) arbitrator, and the language of the arbitration shall be English. This arbitration clause shall not apply where applicable law expressly requires specific categories of disputes, including consumer disputes, to be resolved in a different forum. 9. Miscellaneous 9.1 Versioning The version of this Agreement applicable to a particular copy of the Model is the version published and in effect at the time of Licensee's acquisition of that copy. 9.2 Entire Agreement This Agreement constitutes the entire agreement between the parties regarding the use of the Model, superseding any prior or contemporaneous agreements, communications, or understandings. 9.3 Severability If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties shall replace the invalid provision with a valid one that most closely reflects the original intent of the parties. By downloading, installing, copying, or using the Model, the Licensee acknowledges full acceptance of this Agreement, including the IMPORTANT NOTICE and Restrictions.
