Apache License 2.0 第4条が求める告知（notice）・帰属表示・義務の引き継ぎをまとめたものです。
本リポジトリ `Rootport/Nz-Gemma4-12B-LTX25` に含まれるファイル
（`TextEncoder/LTX-2.5-gemma4-12b-text-encoder-Q4_K_M.gguf`）に適用されます。
This file provides the notices, attributions, and pass-through obligations required by Sections 3
and 6 of the LTX-2.x Community License Agreement (dated August 11, 2026), and by Section 4 of the
Apache License 2.0. It applies to the file contained in the repository
`Rootport/Nz-Gemma4-12B-LTX25` (`TextEncoder/LTX-2.5-gemma4-12b-text-encoder-Q4_K_M.gguf`).

## 1. 帰属表示 / Attribution

- **Lightricks Ltd.** fine-tuned this Gemma 4 exclusively to serve as the LTX 2.5 text encoder
(identified in upstream metadata as `gemma4-12b-ltx-v1`) and published it as part of the LTX-2.5
distribution (`Lightricks/LTX-2.5`,
`text_encoders/gemma4-12b-with-proj-ltx-2.5-bf16.safetensors`), under the LTX-2.x Community
License Agreement.
- The maintainer of this repository (**Rootport**) quantized Lightricks' fine-tuned checkpoint to
GGUF format using
[Nz-GGUF-Converter-LTX23](https://github.com/Rootport-AI/Nz-GGUF-Converter-LTX23) (tool version
1.2.0, commit `905f348`).
- Other than the quantization described above, the maintainer of this repository (Rootport) has
performed no training or other modification.

## 3. 加えた変更 / Modifications made

本ファイルは、上流の bf16 safetensors（26,263,860,594 バイト）を GGUF 形式へ量子化変換した
ものです。全686テンソルのうち、**328テンソルをQ4_K量子化**・**2テンソルをQ6_K量子化**し、
残り356テンソル（**BF16パススルー351・I8パススルー5**）は数値精度を落とさずそのまま
保持しています。量子化により数値精度は変化しますが、アーキテクチャやテンソルの意味
（キー名の対応関係）は変更していません。ファインチューン・追加学習は一切行っていません。
この告知は、LTX-2.x Community License Agreement 第3.3条が求める「変更したファイルへの
目立つ告知」と、Apache License 2.0 第4条(b)が求める「変更したファイルへの顕著な告知」の
両方を兼ねます（本ファイルの基底が最終的に Gemma 4 に遡る以上、両ライセンスの告知義務が
重なって適用されるため）。

This file is a GGUF quantization of the upstream bf16 safetensors file (26,263,860,594 bytes). Of
the 686 tensors, **328 were Q4_K-quantized** and **2 were Q6_K-quantized**; the remaining 356
tensors (**351 BF16 passthrough + 5 I8 passthrough**) were kept at full numerical precision.
Quantization changes numerical precision but not the architecture or the tensor key mapping. No
fine-tuning or further training was performed.
This notice serves both the "prominent notice stating that you changed the files" required by
Section 3.3 of the LTX-2.x Community License Agreement and the "carry prominent notices stating
that You changed the files" required by Section 4(b) of the Apache License 2.0 (both obligations
apply because this file's lineage ultimately traces back to Gemma 4).

**LTX-2.x Community License Agreement**（同梱の [`LICENSE`](LICENSE)、2026年8月11日版）が

再配布する行為は同ライセンスへの同意を意味します。

Because Lightricks Ltd. published this fine-tuned Gemma 4 checkpoint as part of the LTX-2.5
distribution, the **LTX-2.x Community License Agreement** (see the bundled [`LICENSE`](LICENSE),
dated August 11, 2026) applies. This repository's further-quantized version remains subject to it;
obtaining, using, or redistributing this file constitutes acceptance of that Agreement.
Use is subject to **Section 4 (Use-based restrictions) and Attachment A (Use Restrictions)** of
that Agreement (full text reproduced in Section 7 below). Please also note:
- Under Section 2.1, **Entities with annual revenues of at least $10,000,000** must obtain a
separate paid Commercial Use Agreement from Lightricks Ltd. before using this file.
- Under Section 3.2, if you redistribute this file (including Derivatives) to any third party, you

## 5. 派生物の譲渡に関する通知（3.5条） / Notice on transfer of Derivatives (Section 3.5)

Community License Agreement 第3.5条により、本リポジトリの管理者（Rootport）は、この派生物を
第三者へ譲渡するにあたり、次のことを譲渡先へ書面で通知する義務を負います。
> (i) 本派生物の利用は、本 NOTICE と同梱の [`LICENSE`](LICENSE)（LTX-2.x Community License
> Agreement）に従うこと。

> (ii) 譲渡先が商業事業者（年間売上高1,000万米ドル以上のEntity）である場合、当該事業者は

This file is a Derivative of LTX-2.5 (as defined in Section 1.5 of the Agreement). Under Section
3.5 of the LTX-2.x Community License Agreement, the maintainer of this repository (Rootport) is
required to notify any transferee of this Derivative, in writing, that:
> (i) use of this Derivative is subject to this NOTICE and the bundled [`LICENSE`](LICENSE) (the
> LTX-2.x Community License Agreement); and
>
> (ii) if the transferee is a Commercial Entity, it must obtain a separate paid license from
> Lightricks Ltd. prior to any use of this Derivative.
The maintainer of this repository will not transfer this Derivative to a Commercial Entity that has
not obtained the required paid license.

metadata, watermarking, content provenance, latent disclosure, and other transparency features
embedded in this file must not be removed, disabled, altered, or circumvented, and any agreement

satisfies that requirement through this section and the redistributed Section 6 of the bundled
[`LICENSE`](LICENSE). Compliance with applicable AI regulations is each user's/provider's own

(dated August 11, 2026).
> When using the Outputs, LTX-2.x and any Derivatives thereof, you agree to comply with the
> [Acceptable Use Policy](https://static.lightricks.com/legal/ltx-acceptable-use-policy.pdf) which
> is hereby incorporated into and made part of this Agreement by reference. Licensor may update it
> from time to time, and the version in effect at the time of your use governs; continued use after
> an update constitutes acceptance. Licensor shall post each version of the Acceptable Use Policy
> with its effective date, and no update shall apply retroactively to use occurring before that
> effective date. In addition, you agree not to use the Outputs, LTX-2.x or its Derivatives in any
> of the following ways:

> 1) In any way that violates any applicable national, federal, state, local or international law or regulation;
> 2) For the purpose of exploiting, Harming or attempting to exploit or Harm minors in any way;
> 3) Knowingly generate or disseminate verifiably false information and/or content with the intent to deceive, defraud, or otherwise unlawfully Harm others;
> 4) To generate or disseminate personal identifiable information that can be used to Harm an individual;
