ALL RIGHTS RESERVED. ## **Terms** The Licensor hereby grants you the right to copy, modify, create derivative works, redistribute, and make non-production use of the Licensed Work, subject to the limitations and conditions described below. The purpose of this license is to make the Licensed Work available for research, development, evaluation, and internal use while restricting certain commercial uses for a limited period of time. # **Additional Use Grant** You may use the Licensed Work for the following purposes without additional permission: 1. **Research and Evaluation** Use of the Licensed Work for academic research, benchmarking, experimentation, and evaluation. 2. **Non-Production Use** Deploying the Licensed Work in any production environment or operational system, including but not limited to internal enterprise systems, automated decision systems, or monitoring systems is not permitted unless expressly allowed under this Additional Use Grant or pursuant to a commercial license from REKA. 3. **Limited Commercial Use for Small Organizations** Commercial production use of the Licensed Work is permitted without obtaining a separate commercial license from REKA provided that: - the organization using the Licensed Work is a for-profit commercial entity and, - the organization and its affiliates or entities under common control have less than $1,000,000 USD in annual gross revenue, and - all other terms of this License are followed. Organizations whose annual gross revenue equals or exceeds $1,000,000 USD, including their affiliates or entities under common control, must obtain a commercial license from REKA for any production deployment of the Licensed Work. Government entities, public sector organizations, academic institutions must obtain a commercial license for any production deployment of the Licensed work. They can use the model only for research and testing. # **Usage Limitation** You may not use the Licensed Work for the following purposes without obtaining a commercial license from REKA: 1. Hosted AI or LLM APIs Operating, hosting or offering the Licensed Work as a hosted model, vision language model API or inference service where third parties can access direct or indirect the model or its outputs. 2. Model-as-a-Service Platforms Providing the Licensed Work as part of a commercial service, platform, SaaS product or market place that enables any third parties to interact with or access the model through an API, SDK, or similar service. 3. Competing Model Development Using the Licensed Work, including model weights, embeddings, parameters, outputs or synthetic data generated by the model to train, fine-tune or otherwise develop or improve competing vision language models, large language models or other foundation models for commercial purposes. 4. Production Use Deploying the Licensed Work in any production environment or operational system, including but limited to, internal enterprise systems, automated decision systems, or monitoring systems, without a commercial license from REKA. 5. Circumventing License Restrictions Any attempt to circumvent or bypass the usage limitations defined in this license. To obtain a Commercial License or for any licensing inquiries, please contact: contact@reka.ai # **Change Date** The Change Date is two (2) years after the public release date of the Licensed Work. # **Change License** On the Change Date, the Licensed Work will automatically become available under: Apache License, Version 2.0 At that time, the Usage Limitations that are described above will no longer apply. # **Redistribution** You may redistribute the Licensed Work, with or without modification, provided that: 1. This license is included with the redistributed work. 2. The copyright notice and attribution to REKA remain intact. 3. Any modifications are clearly documented. 4.
