TERMS AND CONDITIONS

1. DEFINITIONS

"Model" means any software, algorithm, system, weights, architecture, code, or
documentation contained in this repository.

"Derivative Work" means any modification, fine-tuning, distillation, merging,
adaptation, or transformation of the Model, including any AI/ML model trained
on or incorporating the Model's outputs, structure, or methodology.

"Entity" means any individual, corporation, partnership, limited liability
company, organization, or other legal person.

"Affiliate" means any Entity that controls, is controlled by, or is under
common control with another Entity.

"Annual Revenue" means the consolidated gross revenue of the Entity and its
Affiliates for the most recently completed fiscal year.

"Commercial Use" means any use of the Model by an Entity whose Annual Revenue
exceeds USD $100,000 (or EUR €100,000), including internal use, product
integration, service provision, or distribution.

"Train" means to use the Model, its outputs, its derivatives, or any data
generated by the Model to develop, train, pre-train, fine-tune, distill,
align, or otherwise build any artificial intelligence system, machine
learning model, or neural network, whether or not the resulting system is
released or distributed.

"You" means the individual or Entity exercising permissions under this
License.

2. GRANT OF RIGHTS (CONDITIONAL)

2.1 Non-Commercial Use. Subject to the conditions set forth in Section 3, You
may use, copy, modify, and distribute the Model for non-commercial purposes,
including academic research, personal projects, and educational use, provided
You retain this License and the copyright notice.

2.2 Commercial Use. Commercial Use requires a separate commercial license
agreement with the Licensor. Contact: josu31.jas@gmail.com.

3. CONDITIONS

The permissions granted in Section 2 are expressly conditioned upon Your
compliance with each of the following conditions. Any use in violation of
these conditions is OUTSIDE THE SCOPE of this License.

3.1 No AI Training. This License is granted ONLY on the condition that You do
NOT Train on the Model, its outputs, its derivatives, or any data generated
by the Model. Any such use is outside the scope of this License, terminates
this License automatically under Section 4, and constitutes copyright
infringement. This condition applies regardless of Your Annual Revenue.

3.2 Commercial Threshold. This License is granted ONLY on the condition that
You do not engage in Commercial Use. Use by an Entity whose Annual Revenue
exceeds the threshold in Section 1 without a separate commercial license is
outside the scope of this License, terminates this License automatically
under Section 4, and constitutes copyright infringement.

3.3 Attribution. All copies and distributions must retain this License, the
copyright notice, and attribution to the original author: Josué Argaña
Silguero.

4. TERMINATION

4.1 This License terminates automatically upon any breach of the conditions
in Section 3.

4.2 If the breach is curable and it is Your first breach, the Licensor will
provide notice and a reasonable cure period not exceeding thirty (30) days.
If the breach is not cured within that period, this License terminates
permanently.

4.3 Upon termination, all rights granted under this License cease. Any use
after termination is outside the scope of this License and constitutes
copyright infringement.

5. NO WARRANTY

THE MODEL IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL THE
LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY ARISING FROM THE
USE OF THE MODEL.

6. SEVERABILITY

If any provision of this License is held invalid or unenforceable, the
remaining provisions shall continue in full force and effect.

7. GOVERNING LAW

This License and its contractual terms are governed by the laws of Paraguay.
Questions of copyright infringement are determined under the applicable
copyright law of the jurisdiction in which the alleged infringement occurs.
